Atomic Layer of the Day:
If you remember last year's saga around Nano Dimension’s failed attempt to acquire Stratasys, you might recall the involvement of Murchinson. This key Nano Dimension shareholder, holding approximately 7.1% of its outstanding shares, has been in a long-standing conflict with the company’s management—particularly with CEO Yoav Stern. While things have been quieter recently, the conflict is far from over.
Murchinson is now pushing again to elect two new directors to Nano Dimension’s Board of Directors. They aim to make these appointments at the Nano Dimension Annual General Meeting of Shareholders, set for December 6. Murchinson is advocating for fresh leadership by proposing two candidates: Robert (Bob) Pons, a seasoned executive with four decades of experience in high-growth tech companies, and Ofir Baharav, who previously served as a Nano Dimension director from 2015 to 2021.
In August of last year, Murchinson made an unsuccessful attempt to remove Nano Dimension's current management and all directors. However, on September 8, 2023, shareholders voted to re-elect the current board members, rejecting Murchinson’s proposal to replace them with “independent” candidates.
At that time, Yoav Stern declared he would step down as Chairman before the General Meeting and also warned that he would resign as CEO if any Murchinson-nominated directors were elected.
