Atomic Layer of the Day:
This could turn out to be a very swift rescue mission. Just on Tuesday, I reported that BCN3D had filed for voluntary bankruptcy, and now it appears that a rescue team has already been assembled, enabling the company to continue operations.
Just before weekend, an offer was made to acquire BCN3D’s production unit by Francesc Adell Poch — founder of INTECH3D and lecturer at the Universitat de Lleida and the Universitat Politècnica de Catalunya.
Adell Poch is supported in this endeavor by a group of investors from Lleida, including the companies Inversions Vall 2012 and Terberfer. The group has committed to providing the necessary funds to acquire the production unit and to maintain the company’s operations following the transaction.
Inversions Vall 2012 is wholly owned by Alimentpecuar, whose sole shareholder is Spirit Capital, the investment vehicle of Oscar Vall Esquerda, a member of the family behind the Vall Companys agri-food group.
The objective of the acquisition is to ensure the continued operation of the company and to preserve all existing jobs through subrogation.
The offer includes BCN3D’s production facility in the Lleida Park industrial zone as well as an office in Sant Feliu de Llobregat.
The total value of the transaction amounts to just over one million euros, covering, among other elements, the release from employee severance liabilities (€311,609), key supplier contracts (€155,168), interim operational financing until the transaction is completed (€450,000), and the cash purchase price (€120,000).
The offer is currently pending approval by the commercial court in Spain.
If approved, the plan is to continue the company’s operations under new leadership, retaining the existing team and infrastructure.
The source is a certain Spanish newspaper, the name and link to which I will share on Tuesday.
